1. Appointment & Non-Exclusivity
Gemmed Ltd hereby appoints the Stockist as an authorised non-exclusive stockist and reseller of Glutagem® products within the United Kingdom. This agreement does not grant exclusivity for any geographic area, sales territory, or online platform. Gemmed Ltd reserves the right to supply Glutagem® products directly to customers through its own online channels, including its official website, Amazon, and TikTok Shop, and to appoint other authorised stockists, aesthetic clinics, pharmacies, salons, or wellness retailers. The Stockist may not claim exclusivity or territorial protection unless expressly confirmed in writing by Gemmed Ltd. Gemmed Ltd will, where possible, support fair distribution by managing stock availability and avoiding unnecessary overlap between resellers in the same locality.
2. Products Covered
The agreement covers the Glutagem® supplement range, including:

● Glutagem® GLP-1 Synergy Appetite Suppressant (upcoming)
● Glutagem® 10K Marine Collagen (upcoming)
● Glutagem® Hair Renewal Complex (upcoming)
● Glutagem® Melasma Control (upcoming)
● Glutagem® DermaClear+ (upcoming)
● Glutagem® Vitamin B Complex+ (upcoming)
● Other products launched under the Glutagem® or Gemmed Wellness line.
3. Ordering & Minimums
Minimum first order: 10 tubs (any mix of Glutagem® products). The same minimum of 10 tubs applies to all re-orders. All orders must be placed via the Gemmed Reseller website at www.gemmedreseller.com. Full payment must be made before dispatch.
4. Pricing & Retail Policy
All prices provided to stockists are wholesale prices and may be revised with 30 days’ written notice. Gemmed Ltd may issue a Recommended Retail Price (RRP) list to guide brand consistency, but stockists are free to determine their own retail pricing. Stockists agree not to advertise Glutagem® products below 15% of the RRP without prior written consent from Gemmed Ltd. Pricing details are confidential and may not be shared publicly or with competing brands. Gemmed Ltd reserves the right to withdraw stockist status if pricing policies are repeatedly breached or brand integrity is compromised.
5. Payment Terms
Payment is due before dispatch unless otherwise approved. Accepted methods: Bank Transfer, PayPal Business, or card payment link.
6. Delivery & Risk
Orders are dispatched via tracked courier within 3–5 working days of cleared payment. Risk in goods passes upon delivery; title remains with Gemmed Ltd until full payment is received. Damages or shortages must be reported within 48 hours of receipt.
7. Returns & Refunds
Supplements cannot be returned or refunded once shipped, unless damaged or faulty upon arrival. Faulty products will be replaced or credited upon verification. Returns for change of mind are not accepted due to food supplement safety regulations.
8. Stockist Responsibilities
Stockists must store products in a cool, dry environment away from direct sunlight or moisture. They must display products professionally, use official marketing materials, and refrain from making medical or unapproved claims. All marketing must comply with UK Food Supplements Regulations 2003 (as amended).
9. Branding, Marketing & Online Sales
Stockists are authorised to use official Glutagem® marketing materials, imagery, and approved product descriptions for promotional purposes, provided all claims comply with UK Food Supplement Regulations and EFSA/FSA guidelines. Repackaging, relabelling, or modifying Glutagem® packaging is prohibited. Stockists must maintain the premium brand image and pricing integrity.
Online Resale Policy:
- Stockists may sell Glutagem® products via their own websites or approved online platforms, including Amazon and TikTok Shop, or social media platforms.
- Product listings must clearly identify Glutagem® as the brand owner and include correct imagery, batch traceability, and compliant descriptions.
- Reselling on eBay or any auction-style or discount marketplace is strictly prohibited.
- Gemmed Ltd reserves the right to monitor listings and revoke permissions if brand or pricing integrity is compromised.
10. Confidentiality
Wholesale pricing, marketing materials, and other business information provided by Gemmed Ltd are confidential and must not be shared or disclosed without written consent.
11. Termination
Either party may terminate this agreement with 30 days’ written notice. Immediate termination may occur if terms are breached, payments are delayed, or Glutagem® products are misrepresented.
12. Liability & Indemnity
Gemmed Ltd shall not be liable for indirect or consequential losses. The Stockist agrees to indemnify Gemmed Ltd against claims arising from misuse, misrepresentation, or improper storage/sale of products.
13. Product Information & Health Disclaimer
Our products are food supplements. They are not intended to diagnose, treat, cure or prevent any disease.
The information on this Site is for general informational purposes and is not medical advice. Consult your GP before starting any supplement, especially if pregnant, nursing, on medication, or under medical supervision.
14. Intellectual Property
All content on the Site (text, graphics, logos, product images, videos) is owned by or licensed to Glutagem and protected by UK and international IP laws.
You may view, download and print pages for personal use only. Commercial exploitation without permission is prohibited.
15. User‑Generated Content (Reviews, Comments)
By posting content you grant Gemmed Reseller a non‑exclusive, royalty‑free, worldwide licence to use, reproduce, adapt and display such content.
You must not post any content that is unlawful, defamatory, obscene, or infringes third‑party rights.
We reserve the right to remove content at our discretion.
16. Prohibited Uses
You may not use the Site:
For any unlawful purpose or to solicit others to perform unlawful acts.
To violate any international, national or local regulations or laws.
To infringe upon our IP rights or the rights of others.
To upload malicious code or interfere with the security of the Site or Shopify platform.
17. Cookies & Tracking Technologies
We use cookies for:
Essential: site functionality (cart, login).
Analytics: performance insights (Google Analytics, Shopify analytics).
Functional: preferences (language, region).
Advertising: personalised ads (Meta Pixel, Google Ads).
On your first visit, consent is requested via banner. Manage preferences via "Cookie Settings" in the footer or browser controls. Third-party cookies subject to those providers' policies.
16. Disclaimer of Warranties
Except as expressly stated in these Terms or required by law, the Site and products are provided "as is" and "as available" without representations or warranties of any kind.
17. Limitation of Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot by law be limited.
Subject to the above, Glutagem will not be liable for: loss of profits, revenue, business, goodwill, or any indirect or consequential loss. Our total liability for any claim related to the Site or products shall not exceed the total amount paid by you for the order giving rise to the claim.
18. Indemnity
You agree to indemnify and hold harmless Glutagem, its directors, employees and agents from any claim or demand arising out of your breach of these Terms or violation of any law or third‑party rights.
19. Links to Third‑Party Sites
Links on the Site may lead to external websites. We are not responsible for the content or practices of such sites and linking does not imply endorsement.
20. Changes to Terms
We may amend these Terms from time to time. The latest version will always be posted on this page and will apply from the date of posting. Continued use of the Site constitutes acceptance of the updated Terms.
21. Governing Law & Jurisdiction
These Terms and any disputes are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction.
